Last Updated: October 2026 · Standard Engineering Master Services Agreement
1. Engagement Framework
These Terms of Service govern all technical consultations, custom software engineering, website development, workflow automations, and systems integrations provided by VS Digital Systems. Each custom project is executed under a detailed Statement of Work (SOW) defining scope, deliverables, timeline, and milestone fees.
2. Scope Definition & Change Requests
To maintain sub-second performance, strict security, and firm delivery dates, all project requirements are agreed upon during the architecture phase prior to development. Any feature additions, third-party API adjustments, or structural changes outside the original SOW will be scoped separately via formal addendum.
3. Milestone Payments & Retainers
Engagements typically follow a structured milestone schedule (e.g., initial deposit, architecture approval, beta staging, and final deployment). Invoices are payable upon receipt via approved credit card, bank wire, or payment gateway methods. Code transfer and final production DNS pointings occur upon final milestone settlement.
4. Intellectual Property & Code Sovereignty
Upon receipt of full payment for contracted milestones, all custom code, design assets, database models, and documentation created specifically for the client are assigned 100% to the client. VS Digital Systems retains rights only to standard pre-existing open-source libraries, helper utilities, and foundational architecture frameworks.
5. Warranty & Post-Launch Support
All production code delivered by VS Digital Systems includes a 30-day post-launch warranty covering any functional bugs or regressions that deviate from the agreed technical specification. Ongoing maintenance, server scaling, and feature expansions can be retained under a separate Systems Reliability Agreement.
6. Limitation of Liability
In no event shall VS Digital Systems be liable for indirect, incidental, or consequential damages resulting from third-party vendor downtime (e.g., Meta WhatsApp API outages, cloud provider interruptions, or payment gateway downtime) outside our direct engineering control.
